These Terms of Service ("Terms") govern access to kagamilabs.io, app.kagamilabs.io, and related APIs and services, including analysis of mixers, privacy protocols, and cross-chain activity across supported blockchains (the "Services") provided by Kagami Labs Inc. ("Kagami", "we", "us"). By creating an account or using the Services, you agree to these Terms on behalf of yourself and the organization you represent ("Customer", "you"). If you do not have authority to bind that organization, do not use the Services. If you have a signed agreement with Kagami, that agreement controls where it conflicts with these Terms.

1. Eligibility and Accounts

The Services are for professional use by investigators, compliance teams, legal professionals, and government agencies. You must be at least 18. Kagami may verify your identity and organization before granting or continuing access, and may decline or revoke access at its discretion. You are responsible for your account credentials and all activity under your account. Notify us at frodo@kagamilabs.io of any unauthorized use.

2. Subscriptions and Fees

Paid plans, fees, usage limits, and the mixers, protocols, and blockchains covered are set in your order form or plan page. Fees are billed in advance, are non-refundable except as required by law or stated in your order, and exclude taxes. Late payments may result in suspension. We may change prices on renewal with [30] days' notice.

3. Use of the Services

Subject to these Terms, Kagami grants you a limited, non-exclusive, non-transferable right to use the Services for your internal investigative, compliance, and legal purposes during your subscription. You must follow the Acceptable Use Policy, which is part of these Terms.

4. Nature of Outputs

The Services analyze public blockchain data using heuristics and statistical methods. Results, including links between transactions, confidence scores, and attributions ("Outputs"), are investigative leads, not findings of fact or proof of identity, ownership, or wrongdoing. Outputs may be incomplete or wrong. You are solely responsible for independently verifying Outputs and for any decisions or actions you take based on them, including freezing assets, seeking legal process, making allegations, or presenting Outputs in any proceeding.

5. User-Submitted Attributions

If you submit, flag, or claim links or attributions ("Submissions"), you represent that you have a good-faith basis for them. Submissions are labeled as user-submitted and are not verified by Kagami. Unless Kagami enables sharing and you opt in, Submissions are visible only within your organization. Kagami may review, label, or remove Submissions.

6. Your Data

You own data you upload or enter, including case notes, tags, and Submissions ("Customer Data"). You grant Kagami a license to host, process, and display Customer Data to provide and support the Services. Kagami keeps each organization's workspace logically separated and does not share Customer Data with other customers except as you direct. Our Privacy Policy explains how we handle personal information.

7. Usage Data and Feedback

Kagami may collect technical and usage data, and may use aggregated or de-identified data to operate, secure, and improve the Services. Kagami may use any feedback you provide without obligation.

8. Ownership

Kagami and its licensors own the Services, including software, methods, models, data compilations, and documentation. You may use Outputs for your internal purposes and related legal proceedings. You may not redistribute Outputs in bulk, resell them, or use them to build a competing product or dataset.

9. Third-Party Data and Services

The Services rely on third-party blockchain data providers and infrastructure. Kagami is not responsible for their availability or accuracy. Kagami may add, change, or retire supported mixers, protocols, and blockchains, and will give [30] days' notice before retiring coverage included in your current plan.

10. Suspension and Termination

You may cancel at any time effective at the end of your billing period. Kagami may suspend or terminate access for breach of these Terms or the AUP, non-payment, a security risk, or a legal requirement. After termination, you may request export of Customer Data within [30] days, after which we may delete it.

11. Disclaimers

THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAGAMI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. KAGAMI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAGAMI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. KAGAMI'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM, OR [$100] IF YOU PAID NOTHING.

13. Indemnity

You will defend and indemnify Kagami against third-party claims arising from your use of the Services or Outputs, actions you take based on Outputs, your Submissions, or your violation of these Terms or applicable law. [Government customers: replaced by their order terms.]

14. Changes

We may update these Terms. Material changes will be notified by email or in the Services at least [15] days before they take effect. Continued use after that means you accept them.

15. General

These Terms are governed by Delaware law. Disputes will be resolved exclusively in the state or federal courts in [St. Johns County, Florida]. You may not assign these Terms without our consent. If a provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You must comply with applicable export control and sanctions laws and confirm you are not a sanctioned person.
